Attorney Brad Walsh is a former Certified Public Accountant (Tennessee) and holds a Masters in Taxation (LLM) from the prestigious New York University School of Law. Brad's primary areas of focus are issues related to taxation, business entity law, contracts and estate planning and administration. Brad is admitted to practice in Mississippi and Tennessee. In addition to local and federal courts in those states, Brad is admitted to practice before the United States Tax Court.

Taxation

Brad Walsh began his professional career as an accountant with Ernst and Young in their Memphis, Tennessee office in 1986. Brad has experience in income, estate and sales tax matters. He served as an adjunct professor for both the University of Mississippi's Accountancy and Law Schools in the areas of foreign tax and U.S. estate planning. Brad is available to assist in tax planning as well as representation before the Internal Revenue Service and state taxing authorities in tax controversy matters including assistance in audits, audit reconsiderations and Offers in Compromise. Brad frequently serves as a Qualified Intermediary for both forward and reverse tax free exchanges under Internal Revenue Code Section 1031.

Business Entity Law

Brad Walsh frequently advises clients with respect to business entity formation including corporations (Sub-chapter S and C), limited liability companies, general and limited partnerships, joint ventures and non-profit entities. Brad's tax background allows him to take into account the myriad advantages and pitfalls certain entity structures entail. Issues such as owner liability, asset protection, employee relations and exit strategies are all taken into account in making sure the businesses and non-profit organizations represented are properly established and maintained.

Contracts

Brad Walsh frequently assists clients in contract negotiation and drafting. He has extensive experience in assisting clients in the sales, mergers, spin-offs and redemption of business entities and assets as well as sales transactions of commercial and residential real estate.

Estate Planning and Administration

Brad Walsh is a frequent lecturer on estate planning techniques. He has a particular interest in split interest gifts including those made for charitable purposes. A large part of Brad's professional focus is on the drafting of Wills, Trust Agreement, Powers of Attorney and Advance Health Care Directives. When appropriate, Brad can establish estate freeze techniques such as family limited partnerships and liability companies, qualified personal residence trusts, irrevocable insurance and gift trusts and grantor retained annuity trusts. Brad can assist your family in getting through the probate process efficiently and without unnecessary expense.
